After a preliminary reconstruction of the corporate structure and mapping of the people involved, we conduct a quick automated review of the controversial elements coming from international watch-lists, specialized databases, press or market news.

This overview of the corporate structure and interests of the Target allows the Attorney to identify the risk elements to further study, eventually.

Just as a Public Prosecutor would do, we perform the red-flag analysis of the supply chain process rather than to the work of each single company. We map the supply chain processes – exposing the risks – and investigate the subjects involved, analyzing the quality of their contribution in relation to the reduction of legal risk.

We collect all information available in the public domain and combine it in order to obtain useful intelligence.  Admittedly, this is more an art than a job. It requires a strong knowledge of available sources and of the information they can provide. Thanks to this first step, we are able to understand the identity and interests of the third parties with which the Client is involved, answering the questions “who knows what”, “what is hot” and “who knows who”.

Through a thorough analysis of the media (newspapers, radio, TV), specialized databases (demographic data, financial reports, notices and government reports…) and international watchlist, we acquire a complete overview on the Target of the due diligence.

Most of the world’s population still does not have access to the Internet, and for many others access is limited. Governments tend to operate mainly offline.

In these circumstances, we put the computers aside and visit offices, archives and libraries looking for information. Government registries are sources of valuable information, but the possibility of accessing them varies drastically from one jurisdiction to another.

Getting the most from this research methodology depends on knowing what information is available and how to retrieve it legally, in order not to expose our Clients to further legal risk.

Potential sources may include current or previous employees, business associates, customers and competitors. Once the right subjects are identified, we provide information on the activities and the reputation of the Target, reaching as far as the confidentiality of the due diligence allows.

Thanks to the support of an international network of analysts and investigators, we are able to interview consolidated sources, in order to assure discretion. Such delicate activity can never be carried out by unprepared personnel. The knowledge of the regulations of the country in which the investigator operates is essential to avoid putting our Clients at risk.

After the information has been obtained from all available sources, they must be analyzed and synthesized. In fact, not all information we find is equally important or accurate. Likewise, building a due diligence project on information detached from the social context can be more dangerous than performing a due diligence at all.

The Firm aggregates all available information evaluating its legal relevance, advising its Clients through a risk scale, from the highest (i.e.: those facts that could involve direct corporate responsibility) to the less urgent to address (i.e.: facts that are useful to keep in mind during the evaluation of an investment).
